These Terms and Conditions (“Agreement”) govern your use of the website and dispatch services provided by Unicorn Dispatch Services (“Company,” “we,” “our,” or “us”).

By accessing our website or using our services, you agree to be bound by these Terms and Conditions.

1. Services Provided

Unicorn Dispatch Services provides professional truck dispatch and freight management services for owner-operators and motor carriers. Our services include:

  • Searching and booking freight loads

  • Negotiating rates with brokers

  • Handling rate confirmations

  • Managing paperwork and documentation

  • Providing load and route coordination

  • Back-office support services

We act solely as a dispatcher and not as a freight broker or motor carrier.

2. Independent Contractor Relationship

Unicorn Dispatch Services operates as an independent contractor. We are not responsible for:

  • Operating the truck

  • Cargo handling

  • Driver conduct

  • Insurance coverage

  • Compliance with FMCSA regulations

The motor carrier/owner-operator remains fully responsible for maintaining active authority, insurance, and compliance with all federal and state regulations.

3. Carrier Responsibilities

By using our services, you agree that:

  • You hold valid MC and DOT authority

  • You maintain active cargo and liability insurance

  • Your equipment meets legal safety standards

  • You will deliver loads on time and in good condition

  • You will comply with broker and shipper requirements

Failure to comply may result in termination of services.

4. Dispatch Fees & Payments

Dispatch fees will be agreed upon in a separate Dispatch Service Agreement. Fees may be structured as:

  • A percentage of gross load revenue

  • A flat weekly rate

  • Per-load fee

Payment terms must be honored as agreed. Failure to pay dispatch fees may result in suspension or termination of services.

5. Rate Confirmations

The carrier is responsible for reviewing and approving all rate confirmations before signing. Once signed, the carrier agrees to fulfill the load under the broker’s terms and conditions.

Unicorn Dispatch Services is not responsible for disputes arising from signed rate confirmations.

6. Cancellations & Termination

Either party may terminate services at any time with written notice.

Unicorn Dispatch Services reserves the right to terminate services immediately if:

  • The carrier fails to maintain proper authority or insurance

  • The carrier engages in illegal or unethical conduct

  • Dispatch fees remain unpaid

Any outstanding fees must be paid upon termination.

7. Limitation of Liability

Unicorn Dispatch Services shall not be liable for:

  • Load cancellations

  • Broker payment delays

  • Freight claims or cargo damage

  • Mechanical breakdowns

  • Accidents

  • Regulatory violations

We provide dispatch support only and do not assume operational or financial liability for transportation services.

8. Confidentiality

Both parties agree to maintain confidentiality of sensitive information, including:

  • Broker contacts

  • Rate details

  • Business operations

  • Financial information

Confidential information shall not be disclosed to third parties without written consent.

9. Non-Circumvention

The carrier agrees not to bypass Unicorn Dispatch Services to directly solicit brokers or shippers introduced by us during the term of service and for a period of [Insert Time Period, e.g., 6–12 months] after termination.

Violation may result in legal action.

10. Website Use

By using our website, you agree not to:

  • Use the website for unlawful purposes

  • Attempt to hack or disrupt website operations

  • Submit false or misleading information

We reserve the right to restrict access to anyone violating these terms.

11. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of New Jersey.

12. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Updates will be posted on this page with an updated effective date.
